Terms and Conditions

1. Prices and Payment

  • All prices are quoted in the agreed currency and are exclusive of taxes, duties, and shipping charges unless otherwise stated.
  • Standard pricing applies up to size 2XL. An additional 15% will be charged for sizes 3XL to 6XL, and an additional 25% will be charged for sizes 7XL to 10XL over the standard price.
  • Payment terms: 50% advance payment along with the Purchase Order (PO), and the remaining 50% before shipment via Telegraphic Transfer (T/T).
  • Late payments may incur interest at 1.5% per month or as otherwise agreed in writing.

2. Order Confirmation

  • Orders must be confirmed in writing by the Exporter.
  • The Exporter reserves the right to accept or reject any order.
  • No changes may be made to the order after confirmation without mutual written consent.

3. Delivery Terms

  • Delivery terms shall follow Incoterms 2020 (e.g., FOB, CIF, EXW) as specified in the Proforma Invoice (PI) or Purchase Order (PO).
  • Delivery dates are approximate and subject to raw material availability, production scheduling, and logistics conditions.
  • Risk passes to the Client upon dispatch of the goods to the agreed shipping point, in accordance with the applicable Incoterm.

4. Inspection and Quality

  • Goods shall conform to mutually agreed specifications and quality standards.
  • The Client may inspect the goods prior to dispatch and must notify the Exporter of any concerns before shipment.
  • Upon valid notification of defects, the Exporter may, at its discretion, repair or replace the defective goods.

5. Packaging, Labelling, and Customization

  • Goods will be packed and labelled according to standard export practices and any specific Buyer requirements provided in writing.
  • Custom packaging, hangtags, or labelling may incur additional charges, as agreed in advance.
  • Customization will be charged extra based on the scope of work and labor involved.

6. Export Documentation

The Exporter shall provide the following standard export documents (unless otherwise specified):

  • Commercial Invoice
  • Packing List
  • Bill of Lading / Air Waybill
  • Certificate of Origin (if applicable)
  • Inspection Certificate (if required)

7. Force Majeure

Neither party shall be held liable for failure to perform its obligations due to circumstances beyond reasonable control, including but not limited to acts of God, war, terrorism, embargoes, government restrictions, natural disasters, strikes, pandemics, or transport delays.

8. Dispute Resolution

  • Any dispute arising out of or relating to this contract shall be resolved through good-faith negotiations.
  • If unresolved, disputes shall be subject to the jurisdiction of the courts of law in Patna, Bihar, India.

9. Governing Law

All the transactions shall be governed by and construed in accordance with the laws of India, without regard to conflict of law provisions.

10. Miscellaneous

  • No waiver or modification of these terms is valid unless in writing and signed by both parties.
  • These General Terms and Conditions shall prevail over any conflicting provisions in the Client’s Purchase Order unless expressly agreed otherwise in writing.
